2. Purpose and Scope of Application
2.1. These Terms and Conditions (hereinafter “Terms”) govern access to and use of the website www.dataroad.pt and its subdomains (hereinafter the “Website”), as well as the information and contact services made available through it.
2.2. DataRoad is a Portuguese company specialising in managed IT services for businesses (Managed Service Provider — MSP), including, but not limited to: IT support, structured network installation, business wireless networks, cyber security, cloud solutions, managed backups, helpdesk services and IT consultancy.
2.3. The content of the Website is for information and promotional purposes only, This does not constitute a binding contractual offer in accordance with Article 32 of the Civil Code. The contracting of any DataRoad service — namely the service IT Unlimited — is subject to the signing of a specific written agreement between the parties, with distinct terms of its own separate from these.
3. Acceptance of the Terms
3.1. Access to the Website, as well as the use of its features (including contact forms and quotation requests), implies the user's knowledge and full acceptance of these Terms.
3.2. If the user does not agree with any provision of these Terms, they must refrain from using the Site.
3.3. DataRoad reserves the right to amend these Terms at any time. Any amendments shall come into effect upon publication on the Website, and the date of the last update is indicated at the beginning of this document.
4. Access to and Use of the Website
4.1. Access to the Website is open to all and free of charge, except in respect of Customer Portal (helpdesk.dataroad.pt), access to which is restricted to DataRoad clients using previously provided credentials.
4.2. The user undertakes to use the Website in a diligent and lawful manner and in accordance with applicable legislation, and shall, in particular, refrain from:
a) Engage in any conduct that could damage, disable, overload or impair the normal operation of the Website, its servers or any associated networks;
(b) Accessing, without authorisation, restricted areas of the Website or the computer systems of DataRoad or third parties;
c) Introducing or spreading viruses, malware, malicious code or any other elements liable to cause unauthorised alterations;
(d) Carrying out automated web scraping, data mining or the systematic collection of information without prior written authorisation;
e) Use the Website for unlawful, fraudulent, defamatory or offensive purposes, or in any way that violates the rights of third parties;
f) Impersonating another person or entity when using the forms or contact methods provided.
4.3. Failure to comply with the obligations set out in the preceding paragraph may result in legal proceedings being brought and the matter being reported to the relevant competent authorities.
5. Intellectual Property
5.1. All content on the Website — including, without limitation, text, images, videos, graphics, logos, trademarks, icons, source code, design, navigation structure, databases and any other element — is the exclusive property of DataRoad or of third parties who have authorised its use, and is protected by the applicable national and international legislation on copyright and industrial property rights.
5.2. The brand DataRoad and their respective distinctive signs and slogans (including, in particular, “We do IT right” e “IT Unlimited”) are DataRoad brands. All other third-party brands, registered trademarks and logos referred to on the Site (Cisco, Fortinet, Sophos, Microsoft, Apple, Dell, HP, Ubiquiti, VMware, AWS, amongst others) belong to their respective owners and are used exclusively in the context of identifying technical partnerships and certifications held by DataRoad.
5.3. The reproduction, distribution, public communication, adaptation, modification or any other form of exploitation, in whole or in part, of the contents of the Website is expressly prohibited without the prior written authorisation of DataRoad, except where permitted by law.
5.4. The content of the Website may be used solely for personal, non-commercial purposes, including viewing, printing and occasional sharing on social media, provided the source is clearly cited.
6. Contact Forms and Requests for Quotations
6.1. The Website provides contact forms and enquiry forms designed to enable users to request commercial information about DataRoad’s services.
6.2. The submission of information through these forms is not legally binding neither DataRoad nor the user; it is merely an initial expression of interest.
Any provision of services is subject to the formal conclusion of a written contract between the parties.
6.3. The user guarantees the truthfulness and accuracy of the data provided, and shall be liable for any damage resulting from the provision of false, inaccurate or outdated information.

7.3. 9.1. DataRoad makes its best efforts to ensure the continuous availability and correct functioning of the Website, but does not guarantee that it remains permanently available, free from errors, viruses or other harmful elements.
9.2. DataRoad reserves the right to suspend, interrupt, limit or modify access to the Website, in whole or in part, without prior notice, specifically for the purposes of maintenance, updating, restructuring or error correction.
9.3. The user is responsible for adopting appropriate technical measures (specifically up-to-date antivirus software and firewall) to protect their equipment while using the Site.
10. Limitation of Liability
10.1. The content of the Site is provided “as is” and “as available”, without explicit or implied guarantees regarding its accuracy, timeliness, completeness, or suitability for specific purposes.
10.2. DataRoad shall not be liable, to the maximum extent permitted by law, for any direct, indirect, incidental, consequential or punitive damages arising from:
a) Of the access or use (or the impossibility of access or use) of the Website; b) Of reliance on any information obtained through the Website; c) Of interruptions, suspensions or unavailability of the Website; d) Of errors, omissions, defects or inaccuracies in the content; e) Of any actions by third parties, namely unauthorised access or cyber attacks.
10.3. This limitation shall not apply in the event of wilful misconduct or gross negligence by DataRoad, nor does it preclude the application of mandatory consumer protection rules.
10.4. Express clarification: The provisions of this article apply exclusively to the Website as an information channel. The terms of liability applicable to the actual provision of services by DataRoad — namely within the scope of the service IT Unlimited — are regulated in the specific service provision contracts entered into with each client, which shall prevail over these Terms with regard to the contractual relationship.
11. Success Stories and Client References
11.1. References to clients, success stories, testimonials and logos published on the Site are disclosed with the express authorisation of their respective owners, in the context of the commercial promotion of DataRoad's services.
11.2. Any customer wishing to request the removal of public mentions on the Website may do so via email sales@dataroad.pt, with the removal being processed within a reasonable timeframe.
12. Modifications to the Terms
12.1. DataRoad reserves the right to modify, update or replace these Terms, in whole or in part, at any time and without prior notice, with the changes becoming effective upon their publication on the Website.
12.2. Users are advised to check these Terms periodically. Continued use of the Site following the publication of changes constitutes tacit acceptance of them.
13. Governing Law and Jurisdiction
13.1. These Terms shall be governed by Portuguese law.
13.2. For the resolution of any disputes arising from the use of the Site, the parties designate as competent the Lisbon District Court, with express waiver of any other.
13.3. Alternative Dispute Resolution (consumers): under the terms of Law No. 144/2015 of 8 September, consumers are informed that, in the event of a dispute, they may have recourse to the following alternative dispute resolution entities:

14. Final Provisions
14.1. Partial nullity: Should any of the clauses of these Terms be declared null or invalid, such nullity shall not affect the remaining provisions, which shall remain in full force and effect.
14.2. Non-waiver: DataRoad's failure to exercise, or delay in exercising, any right under these Terms shall not constitute a waiver of that right.
14.3. Full agreement: These Terms, together with the Privacy Policy and the Cookies Policy, constitute the entire agreement between the parties regarding the use of the Website, superseding any prior communications or agreements on the same subject matter.
14.4. Languages: the Portuguese version of these Terms shall prevail over any translations into other languages provided for the convenience of users.
